MP Locks Up

The following locks up my computer with MP requiring a hard power reset.

Start MP, go to my videos and start a video
hit back then just hit up/down arrows to scroll through the menus, after a few it locks up

Start MP, go to my pics, start a slide show
hit back, same thing

Any ideas? Seems like it might have something to do with directx, overlay, etc.

I had 2 distinct lockups. The first was caused by memory problems. Interesting the memory works fine in 64 bit mode, but in 128 bit mode it freezes (paired slots).

The 2nd freeze happens every time I start MP. I start MP and the first splash screen is displayed, then it's gone and all I get is the hourglass. I C_A_D and the task manager appears, it's then that MP appears in the taskbar, however clicking on it results in the hourglass again. If I kill MP using the task manager and re-start it with task manager running it starts up just fine.

Log attached for the 2nd problem. PS...I have 2 disks, one with XP MCE SP2 and the other with Vista. The lockup doesn't happen in Vista.
