I need a new small but capable client setup? (1 Viewer)

I'm moving to a bigger place in a few weeks and want to replace my current single seat m-atx setup to a multi seat one. What I'm looking for is a small mboard/cpu/gpu combo that is capable of running as passive as possible.

Waht it need to do do is:

SD interlaced live TV
HD 720p Live TV (can only receive one HD channel, the others are paired to providers own STBs)
1080p remuxed blu-rays in mkv-format.
Able to do 24/50/60hz properly
1080i is not an interest
Gbit LAN

I plan to mount the stuff directly inside the tv cupboard so no need for a HTPC case and all the storage is placed somewhere else so I only plan to hook up one of those new SSDs to it.

Please give me suggestions on what to buy?
