MP freezes (initializing directx) (1 Viewer)

I am trying to run the latest stable 0.2.3 on a fresh install of XP pro.
I have no issue getting into the configuration program, but when I start MP it just freezes on initializing directx.
I have read every thread I could find here on this and did everything in them to try and resolve it, but all for not.
The last line in the log just states "initializing directx"
Now the funny part is that if I use ctrl-alt-del to get the task manager up MP will continue to load (this is the only way to get it beyond initializing directx) however the computer is far from stable at this point and not usable.
I have done the following to try and track the issue:

1. Tried 3 different Nvidia video drivers.
2. Re-installed a fresh XP 3 times.
3. Ran a thorough virus and malware check.
4. Ran Prime95 stress test for 24hours to eliminate computer hardware.
5. played videos through both PowerDVD 7 and WMP.
6. Ran 3dmark06 to test hardware.
7. Ran DXdiag and all tests passed.

I have been running MP for over a year now and have become dependent on it.
This all started when I replaced the CPU with a faster one and did a fresh install of XP at the same time.
I can't see it being hardware after all the stress tests I have put the PC under and it passed with flying colors.

I need my MP please help.

    Don't rule out a faulty CPU - I had a bizare video problem a while back and after about 12 months of trying all sorts of solutions and pulling my hair out, it turned out to be the CPU itself that was faulty ...

    I assume that you have applied all the Windows Updates to your fresh install of Windows XP?

    Is your MP freezing upon boot-up?

    I had this same issue with ATI card. Turns out it was a race condition: MP was trying to start before my ATI drivers initialized. My solution: I wrote a tool in Perl to launch MediaPortal after "CCC.exe" is detected to be running on the system (ATI Catalyst Control Center). Compiled this tool into an executable and I have it launch when Windows boots up.

    I do have all the latest XP updates.
    I am about to try a new sound card.
    If that doesn't work I have another motherboard I could try.
    I don't start MP at boot, at least not right now. I start it manually.

    Got it figured out. Something in the dirextx setup had to have been corrupt.
    I installed a fresh install of directx and it works now.
    Don't know how it could have happened and the Directx diag program said everything was OK.
