I am on an old version of mp v1.01 will rc3 install over the top or will it be a clean install?

The upgrade is only available for 1.1.0 RC1 or later.
If you use an older version, you have to use the "fresh install" option. This will uninstall your present MP, backup all your userfiles, and install RC3.
Only the TvServer Database will be re-used automatically, without any data loss.

This is going to sound funny, but my watchdog is not working as advertised....

Basically when I set my option to one of the two choices that launch mediaportal, I get no mediaportal..

Clicking on proceed does only pre and post-test actions, it does not launch mediaportal at all.. Is the program aware that I'm running a 64bit system and there for my mediaportal is in "program files (86)".... I really want to do some intensive log reporting and would really like a fix for this ASAP... Would provide logs hahah but yeah....

Yes it does, I can only test on Win7 64 and its working fine, your specs show Vista, both have the same file structure so should work too.

Where could i find a list of the settings used by the debug mode?

I am experiencing a major problem with Live TV since RC3 and i wanted to collect and send the logs. To my great surprise the problem does not seem to happen in debug mode, which makes me thing that it's actually linked to one of my settings.

Is there somewhere a full set of settings/disabled features available in the forum/wiki? I tried to look for one but with no success.

It just sets the loglevel to "debug" (which is the default of RC releases anyway), and ignores all the extensions (plugins/skin) you have installed (MP does not load them in debug mode).

So the issue you experience, must be caused by a plugin or skin you have installed.

I tried to reduce the potential sources of problems by using a clean installation with no plug-ins. The skin i am using is Blue3.

What are the changes to code execution that Tourettes mentions? Could these be affecting nominal LiveTV with respect to how it works in debug mode?

Yes, it still happens! I tried again from another client and posted the logs here https://forum.team-mediaportal.com/mediaportal-1-1-0-rc-3-4-519/continous-glitches-livetv-both-sd-hd-83762/

There is though a significant difference between standard and debug mode. In the second case the frequency of the problem is much lower and less critical (client and server do not hang!).

Any idea about what may justify such a different behaviour beside what you wrote above?

Sadly not....
