You got a lot of options, there is many tools out there to provide the functionality.

Normally i would just say use mcebuddy, but it does not do subtitles.
TMPGEnc xpress 4.0 does have subtitle abilities, but i'm not certain how it implements them, maybe see if you can get a trial (very good, but not cheap).
Have a look at doom9.net, they have lots of free software and tutorials on conversion.
